COMPANY SECRETARY
Motor Vehicles Insurance Limited (MVIL) is a State-Owned Enterprise that provides Compulsory Third Party Insurance to all vehicle owners in Papua New Guinea. MVIL is now seeking to recruit a highly capable and experienced Company Secretary to be based at MVIL Headquarters in Port Moresby.
Reporting to the Board, the ideal candidate will be responsible for providing support to the MVIL Board of Directors and Management in maintaining a high standard of corporate governance, and observing the financial and legal parameters within which MVIL operates. The Company Secretary will be an important link between the board, management, key stakeholders, and regulatory authorities.
You will be expected to:
- Support the Board to ensure the company complies with legal and regulatory requirements and follows best practice, by advising the board on their responsibilities, and helping to develop corporate governance policies and procedures.
- Organise and coordinate board meetings and committee meetings to ensure their effectiveness. This includes setting agendas, organising materials, minute-taking, and handling follow-ups.
- Maintain the company’s statutory registers and records, encompassing the register of shareholders, directors and other relevant documentation.
- Monitor changes in legislation, updating the board and management teams on any legal developments that may impact the company.
- Ensure that the board’s decisions are properly communicated and implemented company wide.
- Where necessary, advise the Board and Management on legal matters, and instigate and brief on legal proceedings and representation, including drawing up of legal documents as required.
Preferred skills, knowledge and abilities:
- Integrity and ethics is a must.
- Degree in Business, Law, or Finance with at least five (5) years’ work experience in a similar role.
- Sound knowledge and experience of corporate governance and corporate law.
- Excellent organisation and self-management skills are essential.
- High attention to detail.
- Excellent interpersonal, business writing and communication skills.
- High level of analytical and conceptual thinking.
